Testimonial Consent & Release

Effective Date: August 1, 2023

With your consent, LATICRETE International, Inc. of One Laticrete Park North, Bethany, CT, 06524-342 (“ LATICRETE  ”, “our”, “us”,  and “we”) would like to share and promote your Content (as defined below) through our, and our licensed third parties’, digital channels (including but not limited to social medial, websites and email) in conjunction with the promotion and marketing of our brand and products. As used herein, “Content” refers to any and all usernames, handles, texts, quotes, hashtags, photos, illustrations, artwork, graphics, videos, audio-video clips, sound recordings, names, words, likeness, and/or any other materials posted by you on the Internet and/or social media which prompted us to contact you. In granting Laticrete permission to share and promote your Content, please review the below terms and conditions ("Terms") to help you determine if you would like to grant us such permission. 

You, the grantor, hereby and irrevocably consents and grants to  LATICRETE  its subsidiaries, affiliates, successors, distributors, associates, representatives, agents, licensees, marketers, and any other related parties or publishers of its promotional materials and their successors and assigns (collectively “ LATICRETE ”), a nonexclusive, fully paid, worldwide, perpetual, irrevocable, royalty-free, transferable license (with the right to sublicense through unlimited levels of sublicensees) to use, share, promote, copy, publish, distribute, exhibit, broadcast, transmit, release, reproduce, edit, record, post, publicly display and perform, license, digitize, remove, retain, repurpose, and commercialize the Content in any and all media or form of communication whether now existing or hereafter developed, without obtaining additional consent, without restriction or notification, and without compensating you in any way, and to authorize others to do the same, for purposes of publicizing  LATICRETE ’s services, products, marketing and public relations efforts, or any other lawful purpose. This includes the right to combine the Content in any documents, products, or media  LATICRETE uses worldwide. You acknowledge and approve that your Content may be distributed by LATICRETE, other individuals and entities involved in LATICRETE’s marketing and public relations efforts, by any means including, but not limited to, electronic media, print media, social media, Internet (worldwide web), commercial products, advertisements, education, course materials, video footage, sales, marketing, or any other medium and technologies now known or hereafter discovered.

You affirm, represent, and warrant that you own all of the Content being licensed herein, or that you have the necessary licenses, rights, consents, and permissions to publish the Content and to grant LATICRETE rights to and use of said Content. You acknowledge and agree that LATICRETE may make derivative works using your Content, either alone or in combination with other materials, and that you have no right to inspect or approve the finished product, and you agree to not make monetary or other claim(s) arising out of the use/alteration of your Content. Further, while LATICRETE does not claim ownership in your Content, LATICRETE shall have complete ownership of any derivative works/products, promotional materials and/or finished product derived from and/or containing your Content.

While we will make commercially reasonable efforts to give you credit for your Content, you agree that such credit is not mandatory, may not be given where it is not reasonably practicable, and your permission for us to use your Content is not contingent upon such credit being given. You agree and give consent to use of your Content knowing your name, comments, and other identifying factors may be revealed to the general public, and that LATICRETE is not responsible for the use or disclosure of any personal information that you voluntarily disclose in connection with the Content that you submit or license to us.

You further irrevocably waive any “moral rights” or other rights with respect to attribution of authorship or integrity of materials regarding the Content that you may have under any applicable law under any legal theory. Finally, you waive any and all claims against Laticrete relating to copyright infringement and/or any invasion or misappropriation based on claims of privacy violation, right of publicity claims, defamation and/or any other intellectual property rights.

You acknowledge that you have read, understood, and agreed to our Terms as set forth herein. You represent and warrant that you are at least 18 years old, have the authority and competency to contract. You represent and warrant that your Content does not and will not violate the rights of any third party, and that you own or are authorized to grant all rights and permissions granted herein. You also agree that if any provision, or any portion of any provision, contained herein is determined to be invalid under any applicable law, then it shall, to that extent alone, be deemed omitted, and the remainder of these Terms shall remain in full force and effect. You agree that the foregoing agreement and Terms shall be governed by the laws of the state of Connecticut.

In the event you do not own or have authorization to grant the rights and permissions described herein and/or do not want to grant LATICRETE such rights, do not accept these Terms.
